Terms of Service

Khanani Innovations provides web design, web development, brand identity, SEO, and related digital services. The specific deliverables, timelines, and pricing for each engagement are agreed upon in writing before work begins — via email, proposal document, or project brief.

We reserve the right to decline any project at our discretion.

• All prices are quoted in USD unless otherwise stated.
• A deposit (typically 50%) is required before work commences on any project.
• Final payment is due upon project completion and before final files or access credentials are handed over.
• Monthly retainer payments are due on the 1st of each calendar month.
• Invoices unpaid after 14 days may incur a late fee of 2% per month.

Each project includes a defined number of revision rounds as specified in the project brief. Revisions outside the agreed scope, or requests that significantly change the original brief, may be subject to additional charges — which we will communicate before proceeding.

To deliver your project on time, we require:

• Timely provision of content, assets, brand materials, and feedback.
• A single point of contact with authority to approve deliverables.
• Responses to review requests within 3 business days to avoid project delays.

Delays caused by late client feedback will extend the project timeline accordingly and are not the responsibility of Khanani Innovations.

• Upon receipt of final payment, you own the final deliverables — design files, source code, and all project-specific assets created for you.
• We retain the right to display completed work in our portfolio and case studies unless you request otherwise in writing.
• Any third-party assets (stock photos, fonts, icon libraries) remain subject to their respective licences. We will notify you of any licence requirements.

We treat all client information as confidential. We will not share your business data, strategies, or project details with any third party without your explicit consent, except where required by law.

For clients on monthly managed plans:

• Plans renew automatically each month unless cancelled with at least 14 days' written notice.
• We guarantee 99.9% uptime for hosted infrastructure. Downtime caused by third-party providers (e.g. Cloudflare, AWS) is outside our control but we will act promptly to resolve issues.
• Content update requests are handled within 24 business hours.

Khanani Innovations shall not be liable for any indirect, incidental, or consequential damages arising from the use of our services or website, including lost revenue, lost data, or business interruption.

Our total liability for any claim related to a specific project shall not exceed the total fees paid for that project.

Either party may terminate a project engagement with written notice. In the event of client-initiated termination:

• Work completed to date will be invoiced at our standard day rate.
• The deposit is non-refundable once work has commenced.
• All completed deliverables will be handed over upon receipt of any outstanding payments.

These Terms shall be governed by the laws of Pakistan. Any disputes shall first be attempted to be resolved through good-faith negotiation. If unresolved, disputes shall be subject to the jurisdiction of the courts of Karachi, Pakistan.

We may update these Terms from time to time. Changes will be posted on this page with a revised date. Continued use of our services after changes constitutes acceptance of the updated terms.
